Terms & Conditions

1. Service Scope

Jewell Projects delivers high-impact strategic consulting and innovation services to support leadership, venture growth, and brand commercialisation. Services may include:

  • Marketing Advisory & Fractional CMO Services
  • Startup Brand Incubation (strategy, branding, digital enablement)
  • Venture Support & Pitch Deck Development (investor presentations, valuation narrative)
  • Brand Licensing Strategy & IP Commercialisation Consulting

These services are advisory in nature and may include documentation, workshops, strategy development, investor-facing material, and IP mapping.

2. Client Responsibilities

The client agrees to:

  • Provide access to relevant business strategy, financials (as appropriate), market research, and prior branding or IP documentation.
  • Nominate decision-makers for consultation and feedback.
  • Review draft deliverables and provide consolidated feedback within the agreed timeframe.
  • Seek legal or regulatory advice on licensing or investment matters not covered by Jewell Projects.

Delays in feedback or non-disclosure of material business facts may impact project outcomes or legal risk.

3. Deliverables & Timelines

Deliverables may include:

  • Marketing strategy reports, go-to-market roadmaps, and advisory memos
  • Pitch decks, financial slide templates, investor briefings
  • Incubation playbooks and brand architecture documents
  • IP Licensing Frameworks, Commercialisation Recommendations

Timelines vary by scope but typically range from 2–8 weeks. Consulting hours may be bundled or ongoing via retainer.

4. IP & Confidentiality

  • Final deliverables are licensed to the client for internal use and external presentations upon full payment.
  • Jewell Projects retains rights to its own strategic frameworks, templates, and IP models used during the engagement.
  • Any client-provided business, financial, and legal information is handled with strict confidentiality.
  • Where brand licensing or IP monetisation is discussed, the client remains solely responsible for legal structuring and execution.

NDAs can be executed upon request to formalise mutual confidentiality.

5. Payment Terms

  • Advisory projects and pitch deck development typically require 50% upfront and 50% upon delivery.
  • Retainer-based CMO or incubation engagements are billed monthly in advance.
  • Brand licensing and IP consulting may involve milestone billing.

Late payments may result in paused delivery or withheld documentation.

6. Termination Clauses

  • Fixed-scope consulting projects may be terminated with 14 days’ written notice.
  • For retainers, a 30-day termination notice is required unless otherwise agreed.
  • All completed work and accrued time will be invoiced up to the date of termination.

All advisory guidance remains the intellectual property of Jewell Projects until final payment is received.

7. Disclaimers

  • Jewell Projects provides strategic and commercial guidance based on experience and market knowledge. We do not provide financial, legal, or tax advice.
  • Success of investor pitches, brand valuation, or licensing outcomes depends on execution and market conditions beyond our control.
  • Jewell Projects assumes no liability for third-party usage of decks, licensing missteps, or any regulatory infringements resulting from client-led actions.

8. NSW / Australian Law Reference

These Terms & Conditions are governed by the laws of New South Wales, Australia. All services are delivered in accordance with the Australian Consumer Law, Copyright Act 1968 (Cth), and any applicable IP licensing frameworks. All disputes shall be resolved under the jurisdiction of the NSW courts.
